We are MedExPrep, a service provided by CarePath Education, LLC, and we appreciate your trust in our products and services. Our goal is to provide healthcare professionals and students with the most effective and comprehensive study materials for healthcare licensing and certification exams. These Terms and Conditions of Use (“Terms”) govern your access to and use of MedExPrep websites, services, content, and platforms. Please read these Terms carefully before using the site, as they constitute a binding agreement between you and CarePath Education, LLC.

1.1 Termination

MedExPrep products are sold as 1 year access subscriptions. If your account is terminated for a violation of these Terms, you forfeit any remaining access time and no refund will be issued. CarePath Education, LLC reserves the right to suspend or terminate any account at its sole discretion if it determines that a user has violated these Terms, engaged in fraudulent activity, or otherwise misused the platform.

1.2 Refunds

Because MedExPrep delivers full digital access immediately upon purchase, all sales are final and non-refundable. By completing your purchase and agreeing to these Terms, you acknowledge that you are purchasing a digital subscription-based service and that no refunds, credits, or chargebacks will be issued once access to the materials has been granted. 2. Terms of Use

2.1 Acceptance of Terms

By accessing or using MedExPrep.com (the “Site”), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the Site. Your continued use of the Site following the posting of changes to these Terms constitutes your acceptance of those changes.

2.2 Amendment

CarePath Education, LLC reserves the right to amend these Terms at any time by posting the amended terms on the Site. All amended terms automatically take effect upon posting, unless otherwise specified. Your continued use of the Site after any amendment constitutes your agreement to the revised Terms. We encourage you to review these Terms periodically for updates.

2.3 Additional Terms

Certain features or services offered on or through the Site may be subject to additional terms and conditions. By using those features or services, you agree to be bound by the additional terms applicable to those features or services. In the event of a conflict between these Terms and any additional terms, the additional terms shall control with respect to the applicable feature or service.

3. License

Subject to your compliance with these Terms, CarePath Education, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content solely for your personal, non-commercial educational purposes. This license does not include the right to: (a) resell or make any commercial use of the Site or its content; (b) collect or use any product listings, descriptions, or prices; (c) make any derivative use of the Site or its content; (d) download or copy account information for the benefit of another party; or (e) use any data mining, robots, or similar data-gathering and extraction tools. All rights not expressly granted to you in these Terms are reserved and retained by CarePath Education, LLC.

You agree that you will not, and will not permit any third party to:

Any violation of these restrictions may result in immediate termination of your account and access to the Site, as well as potential legal action.

5. Reporting Violations

If you become aware of any violation of these Terms, including but not limited to unauthorized use of content, sharing of account credentials, or distribution of proprietary materials, please report it immediately to support@medexprep.com. CarePath Education, LLC takes all reports of violations seriously and will investigate and take appropriate action, which may include suspension or termination of the offending user’s account and pursuit of legal remedies. We appreciate your help in maintaining the integrity of the MedExPrep platform.

6. Disruption of Service

CarePath Education, LLC shall not be liable for any disruption of service due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, labor disputes, power failures, internet service provider failures, or cyberattacks. In the event of a prolonged service disruption lasting more than 72 continuous hours, CarePath Education, LLC may, at its sole discretion, extend the subscription period for affected users by an amount of time equal to the duration of the disruption. If you experience a service disruption, please contact support@medexprep.com so that we can assist you and document the issue. CarePath Education, LLC will make commercially reasonable efforts to restore service as quickly as possible.

7. User Security Obligations

You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to: (a) immediately notify CarePath Education, LLC of any unauthorized use of your account or any other breach of security; and (b) ensure that you log out of your account at the end of each session when accessing the Site from a shared or public device. CarePath Education, LLC will not be liable for any loss or damage arising from your failure to comply with these security obligations. You are encouraged to use a strong, unique password and to enable any additional security features offered by the Site.

8. Eligibility; Registration; Site Access

8.1 Eligibility

The Site is intended for use by individuals who are at least eighteen (18) years of age. By using the Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use the Site. CarePath Education, LLC reserves the right to request verification of age at any time and to terminate the account of any user who is found to be under 18 years of age.

8.2 Account Information

To access certain features of the Site, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete. CarePath Education, LLC reserves the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete. You are solely responsible for all activity that occurs on your account and for maintaining the security of your account credentials.

9. Privacy and Consent

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. You acknowledge that internet-based data transmissions are inherently insecure and that CarePath Education, LLC cannot guarantee the security of data transmitted over the internet. You are responsible for reviewing the Privacy Policy periodically and for being aware of any changes.

10. Ownership; Proprietary Rights

The Site and all content, features, and functionality thereof (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by CarePath Education, LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Site except as expressly permitted by these Terms.

11. Notice

CarePath Education, LLC may provide notifications, whether required by law or for marketing or other business-related purposes, to you via email notice, written or hard-copy notice, or through posting of such notice on the Site, as determined by CarePath Education, LLC in its sole discretion. CarePath Education, LLC reserves the right to determine the form and means of providing notifications to users. You may opt out of certain marketing communications by following the unsubscribe instructions included in the messages. However, you may not opt out of service-related or legal notices. Any notices required to be given by you under these Terms must be sent to support@medexprep.com.

12. Copyright, Patent, and Trademark Notice

MedExPrep, the MedExPrep logo, and all other trademarks, service marks, graphics, and logos used in connection with the Site are trademarks or registered trademarks of CarePath Education, LLC or its licensors. All other trademarks, service marks, graphics, and logos used on the Site are trademarks of their respective owners. You may not use any of these trademarks without the prior written consent of CarePath Education, LLC or the respective trademark owner. Nothing in these Terms grants you any right or license to use any trademark, design right, or copyright owned or controlled by CarePath Education, LLC or any other third party, except as expressly provided herein.

13. Electronic Signatures

By using the Site and clicking any “I Agree,” “Submit,” or similar button or checkbox, you consent to the use of electronic signatures and agree that your electronic acceptance constitutes your signature, acceptance, and agreement as if you had physically signed a document. This consent applies to all interactions with the Site, including but not limited to the acceptance of these Terms, the Privacy Policy, and any future amendments thereto. Your electronic signature carries the same legal weight as a handwritten signature under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Uniform Electronic Transactions Act (UETA).

14. Disclaimers

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND PRODUCTS AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CAREPATH EDUCATION, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CAREPATH EDUCATION, LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

CAREPATH EDUCATION, LLC MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE SITE. THE STUDY MATERIALS AND PRACTICE QUESTIONS PROVIDED THROUGH MEDEXPREP ARE INTENDED AS SUPPLEMENTARY EDUCATIONAL AIDS AND ARE NOT GUARANTEED TO RESULT IN THE PASSING OF ANY EXAMINATION. YOUR USE OF THE SITE IS AT YOUR OWN RISK.

15. Warranties

You represent and warrant that: (a) you have the legal right and capacity to agree to these Terms; (b) all information you provide to CarePath Education, LLC is accurate, current, and complete; (c) you will comply with all applicable laws and regulations in connection with your use of the Site; (d) you will not use the Site in any way that could damage, disable, overburden, or impair the Site or interfere with any other party’s use of the Site; and (e) you will not engage in any activity that constitutes fraud or misrepresentation in connection with your use of the Site. CarePath Education, LLC warrants that it will use commercially reasonable efforts to provide the Site in a manner consistent with general industry standards.

16. Release

To the fullest extent permitted by applicable law, you release CarePath Education, LLC, its officers, directors, employees, agents, affiliates, subsidiaries, and successors from any and all claims, demands, damages, losses, costs, expenses, and liabilities of every kind and nature, known and unknown, arising out of or in any way connected with: (a) disputes between you and one or more other users of the Site; (b) your use of the Site or any content, materials, or services obtained through the Site; (c) the actions or inactions of any third-party providers or partners; and (d) any examination results or professional outcomes that may or may not result from your use of the Site. You expressly waive any rights you may have under any statute or common-law principle that would otherwise limit the coverage of this release.

17. Indemnification

You agree to indemnify, defend, and hold harmless CarePath Education, LLC, its officers, directors, employees, agents, affiliates, subsidiaries, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: (a) your use of and access to the Site; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any copyright, trademark, trade secret, or privacy right; (d) any claim that your use of the Site caused damage to a third party; or (e) any content you submit, post, or transmit through the Site. This indemnification obligation will survive the termination of these Terms and your use of the Site.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAREPATH EDUCATION, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUBSIDIARIES, OR SUCCESSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF CAREPATH EDUCATION, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF CAREPATH EDUCATION, LLC EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS (US $100.00) OR THE AMOUNT YOU PAID TO CAREPATH EDUCATION, LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in New York County, New York, and the parties hereby consent to the personal jurisdiction and venue therein. You agree that any cause of action arising out of or related to the Site must commence within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

20. Arbitration of Disputes

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall take place in New York County, New York, and shall be conducted by a single arbitrator. The arbitrator’s decision shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each party shall bear its own costs and expenses in connection with the arbitration, except that CarePath Education, LLC shall pay all filing fees and administrative costs of the arbitration. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

21. Attorney’s Fees

In the event any litigation or arbitration is brought by either party in connection with these Terms, the prevailing party shall be entitled to recover from the other party all reasonable costs, expenses, and attorney’s fees incurred by the prevailing party in connection with such litigation or arbitration. “Prevailing party” shall include, without limitation, a party who substantially obtains or defeats the relief sought, as the case may be, whether by compromise, settlement, judgment, or the abandonment by the other party of its claim or defense.

22. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the intent of the original provision. If such modification is not possible, the provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms, and all remaining provisions shall continue in full force and effect.

23. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of CarePath Education, LLC. Any attempt by you to assign or transfer these Terms without such consent will be null and void. CarePath Education, LLC may freely assign or transfer these Terms without restriction and without notice to you. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

24. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or additional terms and conditions published by CarePath Education, LLC on the Site, constitute the entire agreement between you and CarePath Education, LLC concerning the Site and supersede all prior agreements, representations, warranties, and understandings with respect to the Site, the content, and the subject matter of these Terms. No oral or written information or advice given by CarePath Education, LLC or its representatives shall create a warranty or in any way increase the scope of the obligations of CarePath Education, LLC under these Terms.

25. Waiver

The failure of CarePath Education, LLC to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver by CarePath Education, LLC of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of CarePath Education, LLC.

26. Technical Access & Platform Performance

CarePath Education, LLC strives to maintain high standards of availability, performance, and security for the MedExPrep platform. However, you acknowledge and agree that:
